These terms and conditions of use ("Terms") govern access to and use of the HelloSafe partner program accessible at atlas.hellosafe.com (the "Site").

By creating an account or using the Site, you unconditionally accept these Terms.

1. Definitions

• Partner: any legal entity or individual registered in the program.
• Tracking Link: a URL generated from the Site used to attribute a sale to a Partner.
• Conversion: a validated purchase of a HelloSafe insurance product attributed to a Partner through a Tracking Link.
• Commission: the payout made to the Partner for each validated Conversion.

2. Registration and Account Validation

Registration is free of charge. All applications are subject to validation by our team within 24 business hours. HelloSafe reserves the right to decline an application without giving reasons.

3. Partner Obligations

The Partner undertakes to:

• provide accurate information at the time of registration;
• not use deceptive, aggressive, or otherwise improper promotional methods (spam, brand bidding on HelloSafe and partner trademarks, false content);
• comply with all applicable regulations, including those relating to advertising and consumer protection;
• embed the HelloSafe widget only on the websites declared in their account, and declare any new domain before it goes live;
• display the widget visibly and legibly to the visitor: any embed that is hidden, shrunk to a few pixels, positioned off-screen or covered by another element is prohibited;
• not alter, frame or overlay the content the widget displays, and not present it as originating from a third party;
• not generate artificial, fraudulent, or unsolicited traffic. Any breach shall result in immediate suspension of the account and cancellation of the corresponding Commissions.

4. Commissions and Payments

The Partner receives 50% of the commissions received by HelloSafe on each validated Conversion attributed to them. Commissions are calculated on the basis of validated Conversions and reported in the Partner's dashboard. A Conversion is only validated after the statutory cancellation period has expired and upon verification that no fraud has occurred.

A Commission becomes payable 30 days after the start date of the insured trip, and no earlier than 14 days after the Conversion. The Partner may request payment of its payable Commissions from its dashboard once they reach €100. HelloSafe checks the Conversions concerned, then pays the approved request by electronic transfer (Canadian partners), international wire transfer or Wise to the payment details provided by the Partner. A Commission paid for a Conversion that is later cancelled or refunded is deducted from subsequent payments.

Self-billing mandate: the Partner authorises HelloSafe to prepare and issue, in the Partner's name and on its behalf, the invoices for the Commissions paid to it. Each invoice bears the mention "Self-billing" and is made available to the Partner at the time of payment. The Partner has 15 days from that date to dispute it; failing that, it is deemed accepted. The Partner remains solely responsible for its tax obligations, including VAT or any applicable sales tax, and undertakes to keep the required information up to date in its account (company name, registration number, tax or VAT number or exemption status, address). The Partner may end this mandate at any time in writing, in which case it issues its own invoices.

5. Suspension and Termination

HelloSafe may suspend or close a Partner account in the event of a breach of these Terms, confirmed or suspected fraud, or discontinuation of the program.

The Partner may close their account at any time from their account settings or via our contact page.

6. Intellectual Property

HelloSafe grants the Partner a non-exclusive, non-transferable, and revocable right to use its trademarks, logos, and marketing materials solely for the purpose of promoting the program. Any other use is prohibited.

7. Liability

The Site is provided "as is". HelloSafe uses reasonable efforts to ensure its availability but cannot guarantee complete freedom from interruption or error. In any event, HelloSafe's liability is limited to the amount of Commissions paid to the Partner during the preceding 12 months.

8. Privacy

Your personal information is handled in accordance with Canadian privacy law (PIPEDA) and Quebec's Law 25.

9. Amendments to the Terms

These Terms may be amended at any time. Partners will be notified of material amendments by email with 15 days' prior notice.

10. Governing Law and Jurisdiction

These Terms are governed by French law. Any dispute shall fall under the exclusive jurisdiction of the courts within the jurisdiction of the Commercial Court of Rennes, unless otherwise required by applicable law. These Terms are drafted in French; if there is any discrepancy between the French version and a translation, the French version prevails.
